Agreement to Terms

By accessing or using MAiTRAX™, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use MAiTRAX™.

MAiTRAX™ is provided by Mig Music Tech LLC (referred to as "we," "us," or "our"). These terms govern your use of the MAiTRAX™ application, including all features, content, and services (collectively, the "Service").

Definitions

  • "You" or "User": The person or entity using MAiTRAX™
  • "Content": Audio, music, projects, prompts, and other materials you create or upload
  • "AI Features": Music generation, remix, and transformation tools powered by artificial intelligence
  • "Generation": One instance of AI-created or AI-transformed audio
  • "Subscription": Paid access to MAiTRAX™ with enhanced features and generation limits

Eligibility

You must be at least 13 years old to use MAiTRAX™. If you are under 18, you must have permission from a parent or guardian.

By using MAiTRAX™, you represent that:

  • You meet the age requirement
  • You have the legal capacity to enter into these terms
  • You will comply with all applicable laws

Account Registration

You may be required to create an account to access certain features. You agree to:

  • Provide accurate and complete information
  • Keep your account credentials secure
  • Notify us immediately of unauthorized access
  • Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these terms.

User Content Ownership

You Own Your Content

You retain full ownership of all content you create in MAiTRAX™, including:

  • Music you compose or record
  • Audio you import or generate
  • Projects you create
  • Lyrics, prompts, and creative input

MAiTRAX™ does not claim ownership, copyright, or derivative rights to your content.

AI-Generated Content

Audio generated using MAiTRAX™'s AI features is yours to use commercially, subject to these conditions:

  • You own the output: AI-generated audio belongs to you
  • Commercial use allowed: You may release, license, sell, or monetize generated audio
  • No attribution required: You are not required to credit MAiTRAX™ or AI providers
  • Source material licensing: If remixing or transforming existing audio, you must have appropriate rights to the source

License You Grant to Us

By using MAiTRAX™, you grant us a limited license to:

  • Process your content to provide the Service
  • Store your content in your projects
  • Transmit your content to third-party AI services for generation (only when you use AI features)

We do NOT have permission to:

  • Publish or distribute your content
  • Use your content for marketing without consent
  • Train AI models on your content (unless you opt in to future training programs)
  • Monetize your content

This license ends when you delete your content or close your account.

AI-Assisted Content and Transparency

AI Disclosure

MAiTRAX™ uses artificial intelligence for music generation and transformation. When you use AI features:

  • Your prompts and optional reference audio are sent to third-party AI services
  • Generated audio is created using AI models
  • Metadata about the generation is stored in your project

Additional information regarding AI-assisted features may be provided within the Service and related documentation.

Responsibility for AI Content

You are responsible for:

  • Ensuring generated content meets your quality standards
  • Complying with platform requirements (Spotify, Apple Music, etc.)
  • Disclosing AI usage if required by distribution platforms
  • Not using AI to create harmful, illegal, or infringing content

MAiTRAX™ provides tools, not legal advice. We do not guarantee that AI-generated content meets specific standards or regulations.

Third-Party AI Services

AI features depend on third-party services, which means:

  • Availability is not guaranteed 24/7
  • Service interruptions may occur
  • Generation quality depends on upstream models
  • Third-party terms and policies apply

We are not liable for third-party service failures or changes.

Acceptable Use Policy

You agree NOT to use MAiTRAX™ to:

Prohibited Content

  • Create content that infringes copyright, trademark, or other intellectual property
  • Generate illegal, harmful, or abusive content
  • Create content that promotes violence, hate speech, or discrimination
  • Generate sexually explicit or inappropriate material
  • Create misleading deepfakes or impersonations without disclosure

Prohibited Actions

  • Resell or redistribute MAiTRAX™ or its features
  • Reverse engineer or extract MAiTRAX™'s source code
  • Circumvent generation limits or security measures
  • Use automated systems or bots for generation
  • Abuse or overload our infrastructure
  • Share account credentials with unauthorized users

Violation may result in account suspension or termination without refund.

Subscriptions and Billing

Pricing

Current subscription tiers, credits, plans, and pricing are available on the MAiTRAX™ website or within the application.

Pricing is subject to change with 30 days notice. Existing subscribers maintain current pricing for one renewal cycle.

Payment

By subscribing, you authorize us to charge your payment method:

  • On a recurring basis (monthly or annual)
  • For add-on purchases (generation packs)
  • For applicable taxes

Failed payments may result in service suspension.

Cancellation and Refunds

You may cancel your subscription anytime:

  • Access continues until end of current billing period
  • No pro-rated refunds for unused time or generations
  • Unused add-on packs are forfeited
Refund Policy:
  • 7-day money-back guarantee for new subscriptions
  • Refunds available for technical issues preventing usage
  • Contact support for refund requests

Free Tier

The free tier may include usage, generation, storage, feature, or credit limitations and may be modified, restricted, or discontinued at our discretion.

Intellectual Property

MAiTRAX™ Ownership

MAiTRAX™, including its software, design, features, and branding, is owned by Mig Music Tech LLC and protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or distribute MAiTRAX™'s software
  • Use MAiTRAX™'s name, logo, or branding without permission
  • Create derivative works based on MAiTRAX™

Third-Party Components

MAiTRAX™ includes third-party libraries and components, each subject to their own licenses. See project documentation for details.

Privacy and Data

Your privacy is important. See our Privacy Policy at https://maitrax.io/privacy for information about how we collect, use, and protect your data.

Key points:

  • We collect usage data to improve the Service
  • AI generation requires sending prompts and optional audio to third parties
  • We do not sell your data
  • You can request data deletion

Service Availability

We strive to provide reliable service, but:

  • MAiTRAX™ is provided "as is" without uptime guarantees (except for enterprise SLAs)
  • Maintenance and updates may cause temporary downtime
  • AI features depend on third-party availability
  • We reserve the right to modify or discontinue features

Disclaimer of Warranties

MAiTRAX™ IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Fitness for a particular purpose
  • Merchantability
  • Non-infringement
  • Uninterrupted or error-free operation
  • Accuracy or reliability of results

You use MAiTRAX™ at your own risk. We do not guarantee that generated audio will meet your expectations or requirements.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAiTRAX™ AND ITS OWNERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, or data
  • Business interruption
  • Damages arising from use or inability to use the Service
  • Damages caused by third-party AI services

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100 USD.

Some jurisdictions do not allow limitation of liability, so these limits may not apply to you.

Indemnification

You agree to indemnify and hold harmless MAiTRAX™ and its owners, employees, and affiliates from any claims, losses, or damages arising from:

  • Your use of the Service
  • Your content or creative works
  • Your violation of these terms
  • Your violation of any third-party rights
  • Your misuse of AI features

Copyright Infringement

We respect intellectual property rights. If you believe content in MAiTRAX™ infringes your copyright, contact us with:

  • Statement of good faith belief

We will investigate and take appropriate action, which may include content removal and account termination for repeat infringers.

Termination

We may suspend or terminate your account if:

  • You violate these terms
  • You engage in fraudulent or abusive behavior
  • Required by law
  • We discontinue the Service

Upon termination:

  • Your access to MAiTRAX™ ends immediately
  • You may export your projects before termination (if permitted)
  • Subscriptions are non-refundable except as stated in refund policy
  • We may delete your content after a reasonable grace period

Changes to Terms

We may update these terms with 30 days notice:

  • Changes effective after notice period
  • Continued use constitutes acceptance
  • Major changes may require explicit re-acceptance

Previous versions will be archived and available on request.

Enterprise Agreements

Enterprise customers may have separate written agreements that supersede these terms. In case of conflict, the enterprise agreement takes precedence.

Dispute Resolution

Governing Law

These terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.

Arbitration

Disputes shall be resolved through binding arbitration rather than court, except:

  • Small claims court cases
  • Injunctive relief requests
  • Intellectual property disputes

Arbitration shall be conducted by a neutral arbitrator under commercially reasonable arbitration procedures applicable in New Jersey.

Class Action Waiver

You agree to bring claims individually, not as part of a class action or collective proceeding.

Some jurisdictions do not allow arbitration or class action waivers. If these provisions are unenforceable in your location, they shall be severed from these terms.

General

Entire Agreement

These terms, together with our Privacy Policy and other referenced documents, constitute the entire agreement between you and MAiTRAX™.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not transfer your account or rights under these terms. We may assign these terms to a successor entity.
